Terms and Conditions

These Terms and Conditions are a legal agreement between you and Party Lux LLC, doing business as BCKSTGE, Backstage, and any related names, products, websites, mobile applications, venue dashboards, ordering tools, event tools, ticketing tools, marketing pages, and services we operate or make available.
By accessing, browsing, creating an account, using, viewing, purchasing through, testing, evaluating, or otherwise interacting with BCKSTGE, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use BCKSTGE.
1. Definitions
In these Terms, “BCKSTGE,” “Backstage,” “we,” “us,” and “our” refer to Party Lux LLC and its owners, officers, employees, contractors, affiliates, licensors, service providers, successors, and assigns.
“Platform” means the BCKSTGE website, mobile application, venue dashboard, host dashboard, ordering system, ticketing system, Fast Lane ordering tools, Pour Decisions tools, pickup code system, event discovery tools, crowd insight tools, venue tools, software, content, interfaces, data, designs, workflows, and any related services.
“User,” “you,” and “your” means any person or entity that accesses, views, downloads, uses, tests, evaluates, or interacts with the Platform, including customers, venue owners, promoters, vendors, competitors, developers, contractors, and any person acting on behalf of another business.
2. Acceptance of Terms
By using the Platform, you confirm that you have read, understood, and agree to these Terms. You also confirm that you have authority to agree to these Terms for yourself and, if applicable, for any company, venue, organization, or other entity on whose behalf you use the Platform.
We may update these Terms at any time. Updates are effective when posted unless otherwise stated. Your continued use of the Platform after updated Terms are posted means you accept the updated Terms.
3. Eligibility
You must be at least 18 years old to use the Platform. You must be at least 21 years old to purchase, order, receive, or participate in any feature involving alcoholic beverages or age restricted venues or events.
You are responsible for complying with all laws, rules, venue policies, age restrictions, identification requirements, and safety requirements that apply to your use of the Platform.
4. Description of the Platform
BCKSTGE provides nightlife, event, venue, ordering, ticketing, and discovery tools. The Platform may include event listings, venue information, ticket access, drink ordering, pickup codes, status updates, pickup instructions, venue dashboards, host dashboards, crowd estimates, wait estimates, and related features.
Information displayed in the Platform may be estimated, delayed, incomplete, inaccurate, unavailable, or subject to change. We do not guarantee that any venue, event, drink, ticket, crowd estimate, wait estimate, price, pickup time, or availability will be accurate or available.
5. Venue Control and Alcohol Related Terms
BCKSTGE is a technology platform. Unless expressly stated otherwise, BCKSTGE does not own or operate venues, sell alcoholic beverages, serve alcoholic beverages, control venue entry, verify intoxication, or make final service decisions.
Venues are responsible for their own operations, pricing, menus, product availability, alcohol service, age verification, identification checks, refunds at the venue level, safety policies, capacity, staffing, order fulfillment, and legal compliance.
A venue may refuse service, cancel an order, require identification, remove a person, deny entry, or enforce its own policies at any time. BCKSTGE is not responsible for a venue’s refusal of service, delayed service, pricing, staff decisions, security decisions, or compliance failures.
6. Accounts and Security
Some features may require an account, phone number, email address, payment method, or other information. You agree to provide accurate information and to keep it updated.
You are responsible for all activity that occurs through your account, device, browser, payment method, or login credentials. You agree not to share access, impersonate another person, create fake accounts, bypass restrictions, or use another person’s account without permission.
We may suspend, restrict, or terminate any account or access if we believe there has been unauthorized use, fraud, abuse, scraping, reverse engineering, competitive misuse, violation of these Terms, safety risk, payment issue, or legal risk.
7. Payments, Fees, Orders, and Refunds
The Platform may allow users to purchase tickets, order items, pay service fees, pay processing fees, leave tips, or make other payments. Prices, fees, availability, and taxes may change at any time.
Payments may be processed by third party payment processors. By making a payment, you agree to the applicable payment processor’s terms and authorize the charge shown at checkout.
Unless required by law or expressly stated by BCKSTGE, fees paid to BCKSTGE may be nonrefundable. Venue item refunds, event refunds, ticket refunds, cancellation decisions, and service decisions may depend on the venue, host, promoter, event organizer, payment processor, or applicable law.
8. Intellectual Property Ownership
The Platform and all related intellectual property are owned by BCKSTGE, Party Lux LLC, or our licensors. This includes, without limitation, names, logos, branding, slogans, trade dress, visual style, source code, object code, software architecture, databases, data structures, algorithms, business logic, designs, layouts, screens, user interfaces, user experience flows, ordering flows, pickup code systems, status tracking systems, venue dashboard workflows, event workflows, ticketing workflows, Fast Lane features, Pour Decisions features, crowd insight features, copy, text, images, videos, graphics, icons, animations, advertisements, marketing materials, documentation, templates, and all improvements, derivatives, and related materials.
You receive only a limited, revocable, nonexclusive, nontransferable license to access and use the Platform for its intended personal or authorized business purpose. No ownership rights are transferred to you.
9. Strict Prohibition on Copying, Cloning, Reverse Engineering, and Competitive Misuse
You may not access, view, use, test, evaluate, monitor, analyze, inspect, or interact with the Platform for the purpose of copying, cloning, reproducing, imitating, reverse engineering, scraping, benchmarking, studying, modifying, creating, launching, improving, advertising, promoting, financing, investing in, advising, or assisting a competing, similar, derivative, substitute, or copycat product, service, feature, platform, app, website, dashboard, ordering system, ticketing system, venue tool, nightlife tool, event tool, or marketing campaign.
Without limiting the above, you agree that you will not, directly or indirectly:
- Copy, reproduce, imitate, adapt, or create a derivative version of any BCKSTGE feature, screen, workflow, user interface, user experience, ordering process, pickup code process, order status process, venue dashboard, event dashboard, ticketing flow, crowd insight flow, payment flow, marketing funnel, copy, layout, design, or visual presentation.
- Reverse engineer, decompile, disassemble, decode, inspect, derive, or attempt to discover any source code, object code, architecture, logic, algorithms, data models, scoring methods, decision engines, calculations, systems, APIs, endpoints, security methods, or internal processes used by BCKSTGE.
- Use the Platform to research, benchmark, compare, evaluate, train, design, build, launch, improve, advertise, or operate a competing or similar product or service.
- Use screenshots, screen recordings, copied text, copied flows, copied screens, copied layouts, copied status language, copied pickup code language, copied venue tools, copied dashboard features, copied marketing language, or copied product ideas from the Platform to build or promote another product or service.
- Scrape, crawl, harvest, export, copy, download, monitor, extract, or collect any data, content, venue information, event information, pricing, menu items, order data, user data, business data, analytics, screenshots, or other materials from the Platform without our prior written permission.
- Use bots, scripts, browser automation, data mining tools, artificial intelligence tools, or other automated methods to access, monitor, copy, analyze, or extract information from the Platform.
- Bypass, disable, overload, interfere with, or attempt to defeat any security, access control, rate limit, authentication, payment, location, eligibility, or usage restriction.
- Misrepresent your identity, affiliation, purpose, employment, business, or relationship to BCKSTGE when accessing the Platform.
- Encourage, assist, finance, instruct, hire, or allow any third party to do anything prohibited by this section.
This section applies to all users, including competitors, developers, designers, promoters, venues, agencies, consultants, investors, contractors, employees, former employees, business partners, and anyone acting on their behalf.
10. Confidential and Proprietary Information
Any nonpublic feature, design, workflow, business method, venue process, ordering method, pricing model, customer flow, dashboard function, technical setup, analytics method, operational detail, testing process, launch plan, or product strategy you view, access, receive, or learn through BCKSTGE is considered confidential and proprietary to BCKSTGE unless we clearly make it public.
You may not use or disclose BCKSTGE confidential or proprietary information for any purpose other than using the Platform as intended. You may not use such information to compete with BCKSTGE, assist a competitor, create a similar product, or damage BCKSTGE.
11. User Content and Feedback
If you submit feedback, suggestions, ideas, comments, bug reports, feature requests, designs, names, concepts, or other information to BCKSTGE, you grant BCKSTGE a worldwide, perpetual, irrevocable, royalty free, fully paid, transferable, sublicensable license to use, copy, modify, publish, display, distribute, commercialize, and create derivative works from that feedback for any purpose without compensation to you.
You agree that you will not submit confidential information, trade secrets, or ideas that you expect BCKSTGE to keep confidential unless we have signed a separate written agreement with you.
12. Acceptable Use
You agree not to use the Platform to:
- Violate any law, regulation, venue rule, event rule, payment rule, or third party right.
- Commit fraud, abuse, harassment, intimidation, threats, impersonation, or unlawful conduct.
- Purchase, attempt to purchase, receive, or attempt to receive alcohol if you are under 21, intoxicated, using false identification, or prohibited by law.
- Interfere with venue staff, other users, orders, payments, events, or Platform operations.
- Upload malware, harmful code, spam, deceptive content, or unlawful content.
- Exploit bugs, errors, discounts, free ticket systems, payment issues, or technical flaws.
- Use the Platform in a way that harms BCKSTGE, venues, hosts, users, payment processors, or service providers.
13. Enforcement, Investigation, and Preservation of Evidence
BCKSTGE reserves the right to investigate any suspected violation of these Terms, including suspected copying, reverse engineering, scraping, misuse, fraud, unauthorized access, competitive misuse, or intellectual property infringement.
You agree that BCKSTGE may preserve and use account records, access logs, device information, payment records, communications, screenshots, screen recordings, public posts, advertisements, website materials, metadata, and other evidence to investigate, enforce, or defend its rights.
We may suspend or terminate access, block accounts, restrict features, remove content, cancel orders, preserve evidence, contact venues or service providers, send notices, issue takedown requests, report unlawful activity, and pursue legal remedies where appropriate.
14. Legal Remedies and Right to Sue
BCKSTGE reserves all rights and remedies available under law and equity. If you violate these Terms, misuse the Platform, copy or attempt to copy the Platform, reverse engineer or attempt to reverse engineer the Platform, scrape or attempt to scrape the Platform, misuse BCKSTGE intellectual property, or create, assist, promote, or operate a competing, derivative, substitute, or copycat product or service based on BCKSTGE, BCKSTGE may pursue legal action against you.
You agree that violations of these Terms may cause immediate and irreparable harm to BCKSTGE, including loss of goodwill, loss of competitive advantage, loss of business opportunities, damage to brand identity, confusion in the marketplace, and harm that may be difficult to measure with money damages alone.
BCKSTGE may seek temporary restraining orders, preliminary injunctions, permanent injunctions, damages, disgorgement, accountings, attorney’s fees, costs, expert fees, investigation costs, takedown relief, preservation orders, and any other remedy available under law or equity.
Nothing in these Terms limits BCKSTGE’s right to bring claims for intellectual property infringement, breach of contract, misappropriation, unfair competition, deceptive or unfair trade practices, interference with business relationships, unjust enrichment, fraud, computer misuse, or any other claim available under applicable law.
15. Attorney’s Fees and Costs
In any dispute, claim, demand, lawsuit, legal proceeding, injunction action, or other proceeding arising out of or relating to these Terms, the Platform, BCKSTGE intellectual property, competitive misuse, reverse engineering, scraping, copying, account misuse, payment misuse, or unauthorized use of the Platform, the prevailing party shall be entitled to recover its reasonable attorney’s fees, court costs, expert fees, investigation costs, and expenses to the fullest extent permitted by law.
BCKSTGE also reserves the right to seek recovery of attorney’s fees and costs where allowed by statute, contract, rule, or other applicable law.
16. Third Party Services
The Platform may rely on third party services, including payment processors, hosting providers, mapping providers, messaging providers, analytics providers, email providers, authentication providers, advertising platforms, and venue systems.
We are not responsible for third party services, third party outages, third party fees, third party policies, third party data practices, or third party failures.
17. Disclaimers
The Platform is provided “as is” and “as available.” To the fullest extent permitted by law, BCKSTGE disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, security, reliability, and uninterrupted operation.
We do not guarantee that the Platform will be error free, uninterrupted, secure, current, accurate, profitable, available at any venue, or suitable for your needs.
18. Limitation of Liability
To the fullest extent permitted by law, BCKSTGE will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost profit damages, including damages arising from venue decisions, event cancellations, alcohol service, denied entry, delayed orders, unavailable items, inaccurate information, app outages, payment issues, data loss, unauthorized access, or third party services.
To the fullest extent permitted by law, BCKSTGE’s total liability for any claim arising out of or relating to the Platform or these Terms will not exceed the greater of the amount you paid to BCKSTGE for the transaction giving rise to the claim or one hundred dollars.
19. Indemnification
You agree to defend, indemnify, and hold harmless BCKSTGE, Party Lux LLC, and our owners, officers, employees, contractors, service providers, licensors, affiliates, successors, and assigns from and against any claims, demands, damages, liabilities, losses, costs, and expenses, including reasonable attorney’s fees, arising out of or relating to your use of the Platform, violation of these Terms, violation of law, violation of third party rights, misuse of the Platform, copying, reverse engineering, scraping, fraud, payment disputes, alcohol related conduct, venue related conduct, or content you submit.
20. DMCA and Intellectual Property Complaints
If you believe content on the Platform infringes your intellectual property rights, contact us using the information below with enough detail for us to review your claim.
BCKSTGE also reserves the right to send copyright, trademark, platform, advertising, hosting, and payment processor notices regarding unauthorized use, copied content, confusingly similar materials, impersonation, infringement, or misuse of BCKSTGE intellectual property.
21. App Store Terms
If you download or use the Platform through Apple, Google, or another app store, you also agree to the applicable app store terms. The app store provider is not responsible for providing support for the Platform unless required by its own terms.
22. Termination
We may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, if we believe you violated these Terms, created legal risk, harmed BCKSTGE, harmed users or venues, misused the Platform, copied or attempted to copy the Platform, reverse engineered or attempted to reverse engineer the Platform, scraped or attempted to scrape the Platform, or engaged in conduct we consider harmful.
Sections relating to ownership, intellectual property, prohibited competitive use, confidentiality, enforcement, legal remedies, attorney’s fees, disclaimers, limitation of liability, indemnification, governing law, and dispute venue survive termination.
23. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
Unless otherwise required by law, you agree that any lawsuit, claim, or legal proceeding arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Duval County, Florida, and you consent to personal jurisdiction and venue in those courts.
24. No Waiver
BCKSTGE’s failure to enforce any part of these Terms does not waive our right to enforce that part later. Any waiver must be in writing and signed by BCKSTGE.
25. Severability
If any part of these Terms is found invalid or unenforceable, the remaining parts will remain in effect. The invalid or unenforceable part will be interpreted or modified to the minimum extent necessary to make it enforceable.
26. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms presented for specific features, are the entire agreement between you and BCKSTGE regarding the Platform and replace any prior or inconsistent understandings.
